Secret Hills offers investors the opportunity to benefit from the capital growth and profits of a 4-Star Hotel & Spa Resort in North Cyprus, through ownership of shares in the Isle of Man Company. The Company and its Subsidiaries have been set up to provide a tax efficient structure for investors and investment can be made personally, through a company or trust, or through SIPP/SSAS pension funds.

The resort aims to fill a distinct gap in the quality family hotel market of North Cyprus. The warm climate provides the additional opportunity to extend the season for activity based holidays and Secret Hills will be well placed to take advantage of this market too and achieve strong occupancy rates.

The Land and associated planning permission has already been obtained by the Developer and the Company intends to raise equity through the sale of Class A Shares in order to construct and complete the resort, whilst putting in place an international hotel operator to manage the completed resort.

The Resort

The off-plan hotel resort will be aimed at the luxury market with an excellent standard of fittings and furnishings, and expects to achieve at least a 4-star category. It is designed for the family market for parents with children, family groups and couples wishing to come on holiday together. Each suite will be formed of spacious living area with balcony and either 1, 2 or 3 bedrooms, plus bathrooms. The suites will range from 65 sq m to 160 sq m interior space, plus balcony.

The range of activities at the resort will play an essential part in achieving the 4-star plus status and will include facilities such as; outdoor swimming pools, terrace and garden; indoor spa, gymnasium and swimming pool; bowling green and tennis courts; children’s play areas and activities; bars and restaurants.

The Resort will also offer access to a range of excellent activities off-site nearby, including; a beach club, water-sports and cafe-bar; numerous excursions; local activities such as walking tours, horse-riding etc. The Resort will look to have strong links to the local community in the provision of activities along with the supply of goods and services to the hotel. The Asset Management Team believes that Resort will provide a broad diversity of attractive activities all year round!

Investment Structure

Class A Shares are to be issued from the Isle of Man Company, whose Cypriot Subsidiary will own the land and the resort itself. This structure has been designed for tax efficiency, particularly upon sale of the resort. This is an off-plan development and share prices will increase throughout the construction period to reward early investors.
Upon completion of the resort, investors will be entitled to annual income in the form of dividends calculated from the profits of the resort, which will be run by an international hotel operator. Capital growth will come from increases in share prices throughout the build and resort establishment, and ultimately from the sale of the resort.

Financials

The Company aims to raise a total of £18.5M, which will cover the full costs of the land, planning permission, construction, furnishing, establishment costs, sales and marketing. The projected capital growth on share value by completion of the resort is 61% for early investors. After completion example income returns indicate that 10% per annum is highly achievable, along with additional capital growth in share value as the resort develops.

Tax position

UK taxpayers will be liable to UK tax on their share of income whether or not distributed, at their marginal rate of tax. For UK resident individuals there is a flat rate of capital gains tax depending upon their tax position and subject to an annual exemption. Upon ultimate sale of the resort, investors can choose between a final dividend or a buy back of shares to suit their own tax circumstances. UK SIPP and SSAS will be exempt from any income tax and capital gains derived from the shares in the Company.
